Terms & Conditions

These Terms & Conditions (“Terms”) govern all contracts for the supply of goods and services by The Sign Company UK (“we,” “us,” “our”) to you, the customer (“you,” “your”). By placing an order with us (via our website, email, phone or otherwise) you accept these Terms in full.

If any part of an order, quotation or contract varies these Terms, that variation applies only if agreed in writing (signed or emailed) by a duly authorised representative of The Sign Company UK.

 

1. Definitions & Interpretation

1.1 “Order” means your request for us to supply goods and/or services (e.g. signage, fabrication, installation) in accordance with a quotation.
1.2 “Quotation” means the price, specifications, drawing(s) and terms we supply to you, which may be accepted by you to form a binding contract.
1.3 “Fabrication” means the process of cutting, forming, assembling, finishing or otherwise manufacturing the goods per the approved design.
1.4 “Goods” means the signage, materials, components, or finished products we supply.
1.5 “Services” means design, installation, maintenance or other services we provide in relation to the Goods.

In these Terms, headings are for convenience and do not affect interpretation.

 

2. Formation of Contract

2.1 All quotations are valid for 30 days, unless we expressly state otherwise.
2.2 When you accept a quotation (in writing, email, or otherwise) or we commence fabrication or supply, a contract is formed on these Terms.
2.3 We reserve the right to decline or cancel any Order at our discretion (e.g. due to material availability, design feasibility, legal or consent issues).
2.4 If you request any change to design, materials, dimensions, specification, or timeframes after you accept the quotation, we may (but are not obliged to) accommodate, subject to additional cost, delay, or revised terms.

 

3. Design Approval & Changes

3.1 After quotation acceptance, we will provide you design proofs, technical drawings or mock-ups (“Designs”) for your approval. This is not mandatory for all jobs but you can request it.
3.2 You must review and approve all Designs before we commence fabrication.
3.3 Once you give approval and fabrication starts (including cutting, forming, ordering bespoke parts etc.), you accept that the work enters a “firm stage” and you irrevocably waive any right to cancel or return.
3.4 If you later request changes after fabrication has begun, we may (at our sole discretion) accommodate them, but you will be responsible for all additional costs, rework charges, material waste, labour and delay.

 

4. Deposit, Payment & No-Refund Policy

4.1 Upon accepting a quotation and/or approving Design, you shall pay a non-refundable deposit (commonly 50%-100%, or as specified in the quotation) before fabrication begins.
4.2 The balance is due on completion of fabrication or prior to dispatch or installation (unless otherwise agreed in writing).
4.3 Once fabrication commences, no refunds will be given. This is because fabrication is the core service we provide: cutting materials, ordering custom parts, programming, labor, etc.
4.4 If you fail or refuse to pay the balance, or delay acceptance, we reserve the right to suspend work, charge interest (at 4% p.a. above base rate) on outstanding amounts, or treat the contract as terminated and retain the deposit and any amounts spent to date.
4.5 We may withhold delivery or installation until full payment is received.

 

5. Cancellation & Termination

5.1 You may only cancel the Order before fabrication begins and only with our written agreement.
5.2 If cancellation is accepted before fabrication, we may deduct from your deposit a reasonable cancellation fee reflecting work done (design, materials ordered, administration).
5.3 After fabrication has commenced (as defined above), you have no right to cancel or refund.
5.4 We may terminate the contract if you materially breach these Terms (including non-payment), after giving you written notice and a reasonable opportunity to remedy.
5.5 Termination does not affect obligations which accrued before termination, including payment obligations, costs incurred, intellectual property, liability clauses.

 

6. Delivery, Installation & Risk

6.1 We deliver Goods or carry out Services to the address you specify. Delivery dates are estimates only.
6.2 Risk in the Goods passes to you on delivery. If you do not accept delivery, risk passes when we make the goods available.
6.3 Title (ownership) remains with us until full payment (including any interest or costs) is received.
6.4 If we supply installation services, you must ensure the site is safe, accessible, structurally sufficient, and you have obtained any consents (planning, landlord, highways) prior to installation.
6.5 We are not liable for site preparation, structural defects, latent conditions, or third-party damage unless agreed separately in writing.

 

7. Warranties, Defects & Liability

7.1 We warrant that for a period of 12 months (or such longer period as stated in the quotation) from delivery or installation, Goods and Services will conform to the agreed specification and be free from defects in material or workmanship (subject to the exclusions below).
7.2 This warranty does not apply where defects arise from: misuse, neglect, damage, modification by others, improper maintenance, environmental conditions, or failure to follow instructions.
7.3 On discovery of a defect, you must notify us in writing within 14 days, allowing us to inspect, repair or replace as we see fit.
7.4 Our liability for defect is limited to repair or replacement (or, at our option, refund of that part) and does not extend to consequential losses (loss of business, profits, etc.).
7.5 Nothing in these Terms limits our liability for death or personal injury caused by our negligence or liability which cannot legally be excluded.

 

8. Intellectual Property

8.1 All Designs, drawings, proofs, artwork and intellectual property rights remain our property unless expressly assigned in writing.
8.2 You guarantee that any design, logo, image, or specification you supply does not infringe third-party rights; you indemnify us against claims.
8.3 After you pay in full, we may grant you a licence or transfer rights to use the finished Goods for the intended purpose (as agreed).

 

9. Force Majeure

Neither party is liable for failure or delay in performance due to causes beyond reasonable control, including (but not limited to) fire, flood, storm, epidemic/pandemic, strikes, material shortage, act of God, governmental acts, utility failure.

 

10. Disputes, Governing Law & Jurisdiction

10.1 These Terms are governed by the laws of England & Wales.
10.2 Disputes shall be subject to the non-exclusive jurisdiction of the courts of England & Wales.
10.3 If any clause is invalid or unenforceable, it will be severed and the remainder of the Terms shall remain in force.

 

11. General

11.1 You shall not assign your rights under this Contract without our written consent, but we may subcontract or assign rights.
11.2 If we do not enforce a right at a given time, that does not waive our right to enforce it later.
11.3 These Terms, together with the quotation, Order acceptance and any design approval documents, form the entire agreement between us.
11.4 Notices shall be in writing (email acceptable) to the addresses specified in the quotation or order.
